Selling a dental practice to a DSO: what about the data?
Who fits
Single practices versus groups
The size floors are set on employees, mostly 20 to 30+: Goldmined 20, Nyne 20+, micro1 30+. A single-doctor office usually falls short; a multi-location group or a DSO that has rolled up several practices is a different case. Mercor lists healthcare among its industries, and micro1 names healthcare administration.2,5,6,7,4
| Fact | Value and source |
|---|---|
| US dental practices and DSOs (NAICS 621210) | 31,741 with 10+ employees; 2,902 with 30+ |
| Who can sell | Companies with 30+ employees, US first, mostly English data |
What is excluded
Patient charts are not the asset
The licensors on this site describe excluding health and client records. SimpleClosure says sensitive employee and health records are out of scope; Polyshares excludes data held on behalf of clients and uses a third-party partner to scrub personal data. In a dental office, that leaves the operations layer: front-desk scripts, insurance verification steps, treatment-plan presentation templates, hiring and training documents, and the email between the office manager and the billing company.8,9,10
Clinical data does move through other channels. hc1 licenses 12B+ lab results through the Protege marketplace, and License My Data runs a separate clinical track for clinic groups and EHR vendors. Those are specialist routes with their own rules, not the operations licensing described above.11,12
| Fact | Value and source |
|---|---|
| What SimpleClosure leaves out | Sensitive employee and health records are excluded; code, Slack, email and docs are in scope |
| Healthcare data through Protege | hc1 licenses its 12B+ lab results through the Protege marketplace |
Timing
When to raise it with the DSO
We found no dental practice broker that mentions AI data licensing, so the DSO's deal team may hear about it first from you. If your group is large enough to qualify, raise it before the letter of intent so the purchase agreement can say what happens to any license. A diligence team will ask anyway: one law firm writes that a prior data sale comes up in diligence, and that buyers expect to see the review, the exclusions and the business reason for it. Keep that paper trail from the first call with a licensor.13,14
