Taxes on data licensing income: ask your CPA
If a buyer is about to pay your company for a copy of its records, talk to your CPA before you sign, not after the money lands. We do not give tax answers, and we found no official tax guidance on payments for AI training data specifically. What we can do is tell you what to bring to that meeting and which questions to ask.1
Why before
Why the conversation comes before signing
Your CPA will want to see how the deal is written: a license or a sale, one payment or a revenue share, paid to the company or to you. Those choices are set in the agreement, so they are easier to change before it is signed. Deals differ a lot here, from a revenue share to one payment for an agreed copy of the records.2,3,4
Your CPA can only work with real numbers, and an ad's range is not one. Published ranges mostly run $100K to $2M, as the buyers' own claims, but your figure comes from a written offer. Our quiz introduces you to the buyers we work with that take a company like yours, so you have an actual offer to put in front of your CPA.5,6,7
What to bring
What to put in front of your CPA
Bring the draft agreement and whether it says license or sale, the payment terms (lump sum, installments or revenue share), and who is paid, the company or an owner personally. Say whether a broker is involved and how it is paid, since some are paid by the buyer and others take a cut of your payment. Finally, say whether the business is operating, being sold or closed.8,9
If you are being paid as a referrer rather than a seller, bring that too. A referral payment is for making an introduction, not for your records, so list it separately from any license fee.10,11,12
What to ask
Questions for your CPA
How will this payment be treated, and does license versus sale wording change that? Does the timing of payment matter for this year or next? If we are selling or closing the business, how does a data payment interact with that? Do we need to set money aside, and how much? What records should we keep from the deal?
Ask the licensing company too. It may issue tax forms and should tell you what it reports. Frankfurt Kurnit's seller checklist includes weighing the price against what the deal costs you to do, and tax is part of that cost.13
